 1. CURRENT BYLAW

 Bylaw 502 Board of Directors: Meetings

Section 3 – The Board of Directors shall establish a meeting during each calendar month.

 HOW THE BYLAW WOULD BE CHANGED

 Section 3 shall read: the full Board of Directors shall hold bi-monthly meetings. And at such other times that the Board of Directors deems necessary.

RATIONALE

 Our business structure is one that is staff driven and reporting on a monthly basis takes staff time away from Association Business. We have an Executive Committee that would meet during the other months.

This change will allow for a more strategic approach by the Board to the needs of the Association and fulfill its governance role.

1. BYLAWS AND POLICIES COMMITTEE RECOMMENDATION

Section 3 shall read: the full Board of Directors will meet on a bi-monthly basis and as needed at other times during the year.
